The following are the terms and conditions of agreement (“Terms and Conditions”) for the sale of products (“Products”) by Vision Illuminat ApS (“Vision Illumination”) to Vision Illumination’s customers (“Customers”).
Agreements under these Terms and Condition of sale form the sole agreement with respect to the sale of products, and supersedes all proposals, negotiations, conversations, discussions, agreements and/or representations, whether oral or written, including any industry custom or past dealing between the parties relating to the sale of products.
LIMITATION OF LIABILITIES.
IN NO EVENT SHALL VISION ILLUMINATION BE LIABLE FOR ANY SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES OF ANY NATURE including, but not limited to, damages resulting from loss of profit or revenue, recall costs, claims for service interruptions or failure to supply downtime, testing, installation or removal costs, costs of substitute products, property damage, personal injury, death or legal expenses. Customer’s recovery from Vision Illumination for any claim shall not exceed the purchase price paid by Customer for the goods, irrespective of the nature of the claim, whether in warrant, contract or otherwise. CUSTOMER SHALL INDEMNIFY, DEFEND AND HOLD VISION ILLUMINATION HARMLESS FROM ANY CLAIMS BROUGHT BY ANY PARTY REGARDING PRODUCTS SUPPLIED BY VISION ILLUMINATION AND INCORPORATED INTO THE CUSTOMER’S PRODUCT
FORCE MAJEURE.
Vision Illumination will not be liable for delays in delivery or for failure to perform its obligations due to causes beyond its reasonable control including, but not limited to, product allocations, material shortages, labor disputes, transportation delays, unforeseen circumstances, acts of God, acts or omissions of other parties, acts or omissions of civil or military authorities, Government priorities, fires, strikes, floods, severe weather conditions, computer interruptions, terrorism, epidemics, quarantine restrictions, riots or war. Vision Illumination’s time for delivery or performance will be extended by the period of such delay or Vision Illumination may, at its option, cancel any order or remaining part thereof, without liability by giving notice to Customer.
QUOTATIONS.
A quotation for Goods given by Vision Illumination shall not constitute an offer. A quotation shall only be valid for a period of 30 days from the date of issue, unless Vision Illumination withdraw or extend the quotation prior to that date.
Quotations are information only and are not offers to contract. There shall be no binding contract until Vision Illumination has accepted the Buyer’s order by despatching the Order Acknowledgement or invoice.
Warranty and complaint
5 YEARS WARRANTY
On all our product purchased from us or one of our distributors.
We provide a 5-year total guarantee on all our products, as well as a 10-year repair guarantee.
This means that we guarantee free repairs within the first 5 years if the product has been used according to the instructions. In addition, we guarantee that our products can be repaired for a minimum of 15 years after they have been purchased.
